These Terms of Service ("Terms") govern your access to and use of BidStack (the "Service"), operated by BidStack ("we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
BidStack is a software platform that helps property owners and managers ("Owners") post capital improvement and maintenance projects, and helps contractors ("Contractors") browse those projects and submit bids. BidStack facilitates communication, bid comparison, contract documentation, and related workflow tools between Owners and Contractors. BidStack is not a party to any contract, bid, or agreement formed between an Owner and a Contractor, and we do not guarantee the accuracy, quality, licensing, insurance status, or performance of any Contractor or the completeness or fairness of any bid or project listing.
You must provide accurate, current information when creating an account and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account. We may suspend or terminate accounts that violate these Terms, provide false information, or are used in a manner that harms the Service or other users.
Owners are solely responsible for the accuracy of project listings, scope of work, and budget information they post, and for selecting and contracting with Contractors. Contractors are solely responsible for the accuracy of their bids, qualifications, licensing, insurance, and the work they perform. Any agreement to perform work, including price, schedule, and scope, is a direct agreement between the Owner and the Contractor. BidStack is not responsible for the performance, quality, timeliness, or legality of any work performed, and is not responsible for payment disputes, contract disputes, or disputes over the quality of workmanship between Owners and Contractors.
Certain features of the Service require a paid subscription, billed through our third-party payment processor (Stripe). By subscribing, you authorize us to charge the applicable fees to your chosen payment method on a recurring basis until you cancel. Fees are non-refundable except as required by law or as otherwise stated at the time of purchase. We may change our pricing with advance notice. BidStack does not process or facilitate payments for construction work, materials, or labor between Owners and Contractors — those payments are arranged directly between the parties, outside the Service.
You agree not to: misrepresent your identity, qualifications, licensing, or insurance; post false or misleading project or bid information; use the Service to harass, defraud, or spam other users; attempt to bypass security or access controls; scrape or harvest data from the Service without authorization; or use the Service for any unlawful purpose.
You retain ownership of the content you submit to the Service (project descriptions, bids, documents, messages, and similar materials). By submitting content, you grant BidStack a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and transmit that content as needed to operate and provide the Service to the relevant parties (e.g., sharing a bid with the project's Owner).
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any project, bid, or user information presented through the Service is accurate or complete.
To the fullest extent permitted by law, BidStack and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service, including disputes between Owners and Contractors. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.
You agree to indemnify and hold BidStack harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, your violation of these Terms, or your dealings with other users, including any contract or work performed between an Owner and a Contractor.
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our discretion.
We may update these Terms from time to time. If we make material changes, we will provide notice (such as by posting an updated version on this page with a new "Last updated" date). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the United States and the state in which BidStack is organized, without regard to conflict-of-law principles.
